Please read these terms carefully before engaging with our services.
These Terms and Conditions govern your engagement with Harmoni Data Sdn. Bhd. and its AI consulting and training services. By accessing our website or engaging our services, you acknowledge that you have read and understood these terms. We have aimed to write these in clear, plain language — if anything is unclear, we welcome your questions before you commit to any service.

Definitions
In these Terms and Conditions, the following terms carry the meanings described below:
- "Agreement" — these Terms and Conditions together with any service proposal, statement of work, or invoice agreed between the parties.
- "Service" — the AI consulting, training, and integration services provided by Harmoni Data, including but not limited to AI Workflow Automation Consulting, Applied AI for Sales Teams, and AI System Integration Consulting.
- "Client" / "You" — the individual, company, or organisation that engages or enquires about Harmoni Data's services.
- "We" / "Us" / "Our" — Harmoni Data Sdn. Bhd., registered in Malaysia, with principal office at 23 Jalan Stesen Sentral, 50470 Kuala Lumpur.
- "Content" — all materials, documents, training assets, reports, specifications, and deliverables created or provided in the course of the Service.
- "Deliverables" — the specific outputs, documents, or artefacts agreed for delivery under a given service engagement.
- "Confidential Information" — any non-public business, technical, or financial information shared between the parties during the engagement.

Acceptance of Terms
A binding agreement is formed when you:
- Sign or provide written acceptance of a service proposal or statement of work;
- Make a payment for any Harmoni Data service; or
- Commence working with Harmoni Data consultants or trainers in a professional capacity.
By forming an agreement, you confirm that:
- You are at least 18 years of age;
- You have the legal authority to enter into this Agreement on behalf of your organisation (if applicable);
- The information you have provided to us is accurate and complete.

Service Description
Harmoni Data offers professional AI consulting and training services to businesses operating in Malaysia and the broader Southeast Asian region. Our current service portfolio includes:
AI Workflow Automation Consulting
Identification, design, and specification of AI-powered workflow automations across business functions, resulting in a prioritised automation portfolio with implementation specifications.
Applied AI for Sales Teams
Training and implementation program equipping sales teams with AI tools and techniques for lead management, forecasting, and follow-up processes.
AI System Integration Consulting
Technical consulting to connect AI solutions with existing enterprise software ecosystems, covering API strategy, data architecture, security, and monitoring.
Service availability is subject to consultant availability and scheduling. We reserve the right to adjust service scope, pricing, or availability with reasonable notice.

Client Accounts & Engagement
Prior to commencing a service engagement, clients are asked to provide accurate organisational and contact information. You are responsible for:
- Keeping your contact and billing details up to date;
- Designating an appropriate point of contact within your organisation for the engagement;
- Notifying us promptly if your organisational circumstances change in ways that may affect the engagement.
We may suspend or conclude an engagement if we reasonably believe that information provided is inaccurate or if the client is unable to fulfil their obligations under this Agreement.

Client Responsibilities
To allow us to deliver services effectively, clients agree to:
- Provide timely access to the people, systems, and data necessary for the engagement;
- Respond to reasonable requests for information within agreed timeframes;
- Assign an internal champion or project lead to coordinate with our consultants;
- Ensure that participants in training programmes attend agreed sessions;
- Use our deliverables and materials only for lawful purposes aligned with the engagement objectives.
Prohibited Activities
Clients must not:
- Reproduce, resell, or distribute Harmoni Data's proprietary materials without written consent;
- Reverse engineer or repurpose our methodologies for commercial resale;
- Use our services to support unlawful activities or to violate applicable regulations;
- Misrepresent our services or findings to third parties.

Intellectual Property
Unless expressly agreed otherwise in writing:
- All proprietary methodologies, frameworks, training materials, and templates developed by Harmoni Data remain our intellectual property;
- Client-specific deliverables (such as automation portfolios, architecture documents, or training reports) prepared for a specific engagement are transferred to the client upon full payment;
- The client is granted a non-exclusive, non-transferable licence to use Harmoni Data materials for their internal business purposes only.
Any data, systems, or intellectual property provided by the client remains the property of the client at all times. We will not use client data for any purpose other than delivering the agreed service.

Payment Terms
All prices are quoted in Malaysian Ringgit (RM) and are subject to applicable taxes including SST where required by law.
Current Service Pricing

- Payment is due within 14 days of invoice unless otherwise agreed in writing;
- For multi-session engagements, payment schedules will be specified in the service proposal;
- Accepted payment methods include bank transfer, online banking, and corporate cheque;
- Late payments may incur a service fee of 1.5% per month on overdue balances.
Cancellation & Refund Policy
- Cancellations made more than 7 business days before a scheduled session — full refund minus any administrative costs incurred;
- Cancellations within 7 business days — 50% of the session fee may be retained to cover preparation costs;
- Cancellations on the day of delivery — the full session fee may be retained;
- Where we cancel or reschedule due to our own circumstances, a full refund or rescheduled session will be offered.

Service-Specific Terms
AI Workflow Automation Consulting
- Delivery includes a written automation portfolio with prioritisation and implementation specifications;
- The number of workflows assessed depends on the agreed engagement scope;
- ROI projections in deliverables are estimates based on available information and do not constitute financial commitments;
- Implementation of the recommended automations is not included unless separately engaged.
Applied AI for Sales Teams
- Training sessions are conducted at agreed times and locations, or via video conferencing;
- A minimum attendance rate of 80% is recommended for participants to receive completion acknowledgement;
- Handout materials are provided for personal professional use and must not be redistributed commercially;
- Tool configuration support is included for tools covered in the programme scope.
AI System Integration Consulting
- Deliverables include architecture documentation, API strategy, and integration specifications;
- Hands-on technical implementation is not included unless separately agreed;
- The client is responsible for engaging their own development resources to execute integration designs;
- We will require reasonable access to system documentation, API references, and technical contacts.

Disclaimers
Our services are provided in good faith based on the information available at the time of engagement. However:
- We do not guarantee specific business outcomes, revenue increases, or cost savings from the application of our recommendations;
- AI technology evolves rapidly — recommendations reflect the state of available tools at the time of delivery;
- Outcomes depend significantly on client implementation effort, organisational readiness, and external factors beyond our control;
- Our consultants and trainers provide professional opinions and frameworks, not regulated financial, legal, or compliance advice.

Limitation of Liability
To the maximum extent permitted by Malaysian law:
- Harmoni Data's total liability for any claim arising from an engagement shall not exceed the total fees paid by the client for that specific engagement;
- We are not liable for indirect, consequential, or incidental losses including lost revenue, lost data, or business interruption;
- We are not liable for outcomes arising from client decisions made using our recommendations.
Nothing in these terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Indemnification
The client agrees to indemnify and hold harmless Harmoni Data, its directors, consultants, and staff from any claims, losses, or expenses (including reasonable legal fees) arising from: (a) the client's misuse of our deliverables; (b) breach of these Terms; (c) infringement of third-party rights arising from information or data provided by the client to us.

Termination
Either party may terminate an engagement by providing 14 days' written notice. Termination does not relieve the client of payment obligations for work already completed or in progress.
We may suspend or terminate immediately, without notice, if:
- The client breaches a material term of this Agreement;
- The client engages in conduct that we reasonably believe is harmful, unlawful, or contrary to our values;
- Payment obligations are more than 30 days overdue.
Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination of any engagement.

Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute:
- The parties agree to first attempt resolution through good-faith discussion within 15 business days of written notice;
- If informal resolution fails, the parties may engage a mutually agreed mediator;
- Unresolved disputes are subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
Malaysian consumer protection laws, including the Consumer Protection Act 1999, apply where the client qualifies as a consumer under that Act.

General Provisions
- Entire Agreement: These Terms, together with any agreed proposal or statement of work, constitute the entire agreement between the parties on the subject matter.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that right.
- Assignment: Clients may not assign their rights or obligations without our prior written consent. We may assign our rights to a successor entity.
- Notices: Formal notices should be sent to [email protected] or by post to our registered address.
- Confidentiality: Both parties agree to keep each other's Confidential Information private and not to disclose it to third parties without consent, for the duration of the engagement and for 2 years thereafter.

Changes to Terms
We may update these Terms from time to time to reflect changes in our services, pricing, or applicable law. When changes are material, we will:
- Update the "Last Updated" date at the top of this document;
- Notify active clients via email at least 14 days before the changes take effect.
Continued engagement with our services after the effective date of any update constitutes acceptance of the revised Terms. If you do not agree with material changes, you may notify us in writing to discuss your options.
